Instructing Party Terms

These Instructing Party Terms apply to law firms and other legal professionals ("you", "Firm") who post Case Requests and instruct Experts through the ExQlo service. They sit alongside our Terms of Service and Privacy Policy; where they conflict on a matter specific to Instructing Parties, these terms prevail.
1. Relationship
ExQlo facilitates introductions between you and Experts. The engagement contract for an Expert's services is directly between you and the Expert — ExQlo is not a party to it and does not provide the Expert's services.
2. Posting Case Requests
When you post a Case Request you must omit client and patient-identifying information from the case summary. The summary is processed by Anthropic's Claude models (via Anthropic's commercial API, where inputs and outputs are not used to train any AI model) to score the suitability of candidate Experts, and a ExQlo administrator reviews the result. Omitting identifying data is required as a matter of defence-in-depth, in addition to your own duties of confidentiality. Within the Case Room, documents you share are end-to-end encrypted, and the chat will warn you before you send a message that appears to contain identifying information. These are additional safeguards and do not reduce your duties of confidentiality.
3. Fees and Funding Route
You pay the fee agreed for the matter. Where the Funding Route is legal aid, use of the Service is free to you. You must declare the Funding Route honestly; misdeclaring it to avoid fees is a breach of these terms.
4. Payment
You pay the Expert — who is the merchant-of-record — through Stripe on completion of the case. ExQlo's Platform Fee is taken from the Expert and is not added to the amount you pay.
5. Refunds and disputes
Because the Expert is the merchant-of-record, any refund or dispute over the Expert's services is resolved with the Expert. ExQlo's only role on a refund is to reverse its own Platform Fee in proportion to the amount refunded.
6. Due diligence
You must independently verify each Expert's credentials, conflicts, insurance and suitability before instructing them. ExQlo does not verify credentials as a regulator would and gives no guarantee of competence, availability or outcome.
7. Indemnity
You indemnify ExQlo against losses, claims and expenses arising from your unlawful or negligent use of the Service, including any breach of confidentiality or unlawful disclosure of personal data.
8. Suspension and termination
You may stop using the Service at any time. ExQlo may suspend or terminate your access for breach of these terms, the Acceptable Use Policy, or where required by law. Provisions relating to fees owed, confidentiality, indemnity and liability survive termination.
